Representation of a foreign company in Ukraine is an institution or a person that represents the interests of a foreign entity of economic activity in Ukraine and has the appropriate authority to do so, i.e. it is an institution registered in Ukraine that represents the interests of its foreign main (parent) company and not is an independent legal entity.
Foreign enterprises that carry out foreign economic activity on the territory of Ukraine have the right to open their representative offices on the territory of Ukraine.
The representative office acts exclusively on behalf of and on behalf of its founder – the main (parent) company, which is indicated in the registration certificate, however, the representative office is obliged to conduct its activities in accordance with the laws of Ukraine.
Representative offices of foreign companies are divided into two types:
- those who carry out business activities on the territory of Ukraine;
- those who do not carry out business activities on the territory of Ukraine.
Business, including foreign economic activity of foreign enterprises on the territory of Ukraine, is regulated by the laws of Ukraine regarding the procedure for conducting business activities by foreign persons on the territory of Ukraine.
If the mentioned activity is related to foreign investments, it is regulated by the relevant laws of Ukraine.
- Application for the registration of a representative office, which is made in an arbitrary form on the parent company's letterhead, and in which it is necessary to indicate:
- name, country of origin, location, date of establishment, number of employees, organizational and legal form and field of activity of the foreign business entity;
- phone, telefax number;
- the city in which the representative office is opened with an indication of its future location (address);
- if there will be branches, indicate in which cities;
- number of foreign citizens who will work in the representative office;
- name of the bank with the account number;
- the purpose of opening and the field of activity of the representative office, information about business relations with Ukrainian partners and prospects for the development of cooperation.
- Extract from the commercial (banking) register of the country where the parent company is located;
- Certificate from the bank where the parent company's account is opened;
- A power of attorney to perform representative functions in Ukraine, drawn up in accordance with the laws of the country where the parent company is officially registered;
- Regulations on foreign representation.
- Collection and preparation of the necessary package of documents for submission.
- Notarization and legalization of documents by affixing an apostille.
- Translation into Ukrainian, certified by the seal of the translator and notary.
- Payment of the state duty for the registration of a foreign representative office.
- Submission of documents to the Ministry of Economic Development, Trade and Agriculture of Ukraine.
- Registration of representative offices at the Ministry - obtaining a certificate.
- Registration of representative offices in statistical authorities.
- Making a seal.
- Registration of representative offices of the tax inspectorate.

Представництво іноземної компанії в Україні – установа або особа, яка представляє інтереси іноземного суб’єкта господарської діяльності в Україні і має на це належним чином оформлені відповідні повноваження, тобто це зареєстрована в Україні установа, яка представляє інтереси своєї іноземної основної (материнської) компанії та не є самостійною юридичною особою.
Іноземні підприємства, які здійснюють зовнішньоекономічну діяльність на території України, мають право на відкриття своїх представництв на території України.
Представництво діє виключно від імені та за дорученням свого засновника – основної (материнської) компанії, який зазначається у свідоцтві про реєстрацію, проте, представництво зобов’язане вести свою діяльність згідно з нормами законодавства України.
Представництва іноземної компанії поділяються на два види
- ті, які здійснюють підприємницьку діяльність на території України;
- ті, які не здійснюють підприємницьку діяльність на території України.
Господарська, в тому числі зовнішньоекономічна діяльність іноземних підприємств на території України, регулюється законами України щодо порядку здійснення іноземними особами господарської діяльності на території України.
У разі, якщо зазначена діяльність пов’язана з іноземними інвестиціями, вона регулюється відповідними законами України.
Інформація та документи, які потрібні від особи для реєстрації представництва іноземної компанії
- Заява про реєстрацію представництва, яка складається у довільній формі на бланку материнської компанії, та в якій необхідно вказати:
- найменування, країну походження, місцезнаходження, дату заснування, кількість співробітників, організаційно-правову форму та сферу діяльності іноземного суб’єкта господарювання;
- номер телефону, телефаксу;
- місто, в якому відкривається представництво з зазначенням його майбутнього місцезнаходження (адреси);
- якщо будуть філії – вказати в яких містах;
- кількість іноземних громадян, які будуть працювати в представництві;
- найменування банку із зазначенням номера рахунку;
- мета відкриття та сферу діяльності представництва, інформацію про ділові зв’язки з українськими партнерами та перспективи розвитку співробітництва.
- Виписка з торгового (банківського) реєстру країни місцезнаходження материнської компанії;
- Довідка з банку, в якому відкрито рахунок материнської компанії;
- Довіреність на здійснення представницьких функцій в Україні, оформлена згідно з законами країни, де офіційно зареєстрована материнська компанія;
- Положення про іноземне представництво.
Реєстрація представництва іноземної компанії в Україні ділитися на наступні етапи
- Збір і підготовка необхідного пакету документів для подачі.
- Нотаріальне засвідчення і легалізація документів шляхом проставлення апостиля.
