In accordance with the provisions of Art. 113 of the Economic Code of Ukraine, a private enterprise is an enterprise operating on the basis of the private property of one or more citizens, stateless persons or foreigners and their labor or with the involvement of hired labor.
The founder of a private enterprise can be both a natural person and a legal entity, but a mixed composition of founders, for example, one citizen (several citizens) and a legal entity or several legal entities, is not provided for by law.
The legislation of Ukraine does not contain a clearly defined procedure for the creation and operation of a private enterprise, the definition of a private enterprise can be found only in the Economic Code of Ukraine.
It should be noted that the legal position of a private enterprise remains the least regulated compared to other economic entities in Ukraine, as there is currently no separate law that would regulate the activities of a private enterprise, therefore entities are forced to be guided by the general provisions of the Civil and Economic Codes of Ukraine. however, a private enterprise is no different from other legal entities.
A private enterprise operates in accordance with the general provisions of the Civil and Economic Codes and has its own name, an independent balance sheet, accounts in banking institutions, can enter into contracts, be a plaintiff and a defendant in court, and carry out foreign economic activity.

Відповідно до положень ст. 113 Господарського кодексу України, приватне підприємство – це підприємство, що діє на основі приватної власності одного або декількох громадян, осіб без громадянства чи іноземців та їх праці або ж із залученням найманої праці.
Засновником приватного підприємства може виступати як фізична, так і юридична особа, проте змішаний склад засновників, наприклад, один громадянин (декілька громадян) та юридична особа або декілька юридичних осіб, законодавством не передбачений.
Законодавство України не містить чітко передбаченої процедури створення та діяльності приватного підприємства, визначення приватного підприємства можна зустріти лише в Господарському кодексі України.
Слід зазначити, що правове становище приватного підприємства залишається найменш урегульованим порівняно з іншими суб’єктами господарювання в Україні постільки, на даний час відсутній окремий Закон, який би регулював діяльність приватного підприємства, тому суб’єкти вимушені керуватися загальними положеннями Цивільного та Господарського кодексів України, проте приватне підприємство ні чим не відрізняється від інших юридичних осіб.
Приватне підприємство діє відповідно до загальних положень Цивільного та Господарських кодексів та має власне найменування, самостійний баланс, рахунки в банківських установах, може укладати договори, бути позивачем та відповідачем у суді, здійснювати зовнішньоекономічну діяльність.
